Job Title: Legal Counsel

Location: Home Based, UK

Salary: £60k-£67k + bonus

Contract Type: Permanent

Hours: Full Time, 37.5 hours per week Mon‑Fri

Role Summary

Optima Health PLC, an AIM listed entity, is recognised as the UK's leading provider of B2B healthcare and wellbeing solutions in the workplace. In recent years, the company has experienced significant organic and inorganic growth, taking reported revenues to roughly £105m in FY25. To support this exciting period of growth and continued innovation, the legal function at Optima Health PLC is expanding. This brand‑new role will help shape how legal services are delivered across the group, working closely with the Head of Legal and a collaborative team.

Main Duties and Responsibilities

  • Draft, review, and negotiate a wide range of commercial contracts, including customer agreements, supplier terms, and service‑level agreements.
  • Advise on contract interpretation, risk mitigation, and legal implications of business decisions.
  • Collaborate with internal teams such as Business Development, Procurement, Contract Managers, Operations and Finance to provide pragmatic legal advice.
  • Contribute to the development of legal templates and internal training to improve legal awareness across the business.
  • Manage and maintain the appropriate control and storage of the company's contractual agreements with customers, suppliers and other third parties.
  • Support the business on bids and tenders, ensuring legal compliance and advising on risks.
  • Assist with legal aspects of corporate activities with external counsel, taking ownership of due diligence and documentation.
  • Support legal disputes, including breach of contract, intellectual property infringement and other commercial conflicts, consulting with external counsel as required.
  • Assist the team with logging and responding to Data Protection incidents in a timely manner.

Essential Qualifications

  • Qualified solicitor holding a practising certificate with at least 2 years PQE as either an in‑house or private practice solicitor.
  • Proven experience in reviewing, drafting and negotiating commercial contracts.
  • Commercially minded with the ability to balance legal risk and business needs.

Desired Qualifications

  • Experience building and implementing technology‑enabled processes to contribute to in‑house ways‑of‑working.
  • Working knowledge of TUPE and its interaction with outsourcing contracts.
  • Appreciation of the principles of Data Protection and IT security practices.
  • Experience with Company Law, including company secretarial practices for an AIM‑quoted company and other private limited entities.
  • Knowledge of public procurement law (pre‑ and post‑2023) and procurement processes used by the Government, NHS and commercial organisations.
  • Operational knowledge of the High Court Technology Court and inquests processes.
  • Experience within the Healthcare Sector, including occupational health, employee assistance programmes and talking therapies.
  • Experience managing and liaising on commercial property transactions with external third parties.
