Thisuniqueroleintegratesthein-depthlegalexpertiseofanattorneywiththeadaptable,client-focusedapproachofaconsultant.For this one open role, we are looking to fill it from either the London, England area (the “UK Location”) or from the United States (the US Location”).For the US Location, thisis a fully remote rolethat can sit anywhere across the USwith little to no travel involved.For the UK Location, this is a remote role, with the expectation that the individual is able to work from Harbor’s or a client’s London office on a hybrid basis, when needed.
Thisis a matrix role that reports into the Contract Teamyet receives work assignments through the client leads assigned to the client(s) you support.As a part of Harbor'sVGSteam, we will rely on you to work closely with project team members and client personnel,facilitatingthe review of vendor contracts, supporting negotiations with vendors tooptimizeterms and conditions, and adhering toboth the client’s andVGS’contracts administration process.We look to you both to mitigate risk and create value by developing contracts that meet or exceed the needs of our clients.The clients are US, CanadaandUK based.
Responsibilities:
- Apply playbook standards to redline and edit contract languagewhile incorporating client-defined standards and additionallysuggest alternate terms based on theservices and productsrelated tothe engagement.
- Identifyterms andconditionsoptions, and/or carve-out strategies,toVGSpersonneland client stakeholders to resolve contract negotiation roadblocks while limiting risk.
- Liaise withclient’sin-house legal counsel in the review and final approval ofinitialcontracts and renewals.
- Engage withHarbor’sclient leadsanddepartment leaders to discuss upcoming contract renewals.
- Facilitatecontract termsnegotiation process and act as liaison between internal and external personnel throughoutprocessincluding identifying points of escalation.
- Communicatepertinent information in theterms andconditions of each contract toappropriate endusersand stakeholders.
- Effectively managepipelineof work including tracking status of reviews, providing proactive updates toexternalstakeholdersand internal client leads,andtimelyfollow upwithbothinternaland externalstakeholders.
- Assistwith thecontractsadministrationprocess by updatingany contract status and newly signed documents into our system.
- Act as key point of contact for any questions / needsregardingcontractsassigned to you.
- Develop,updateand administer standard agreement templatesand related playbooks.
- SupportVendor Governanceprocesses including on/off boarding of vendors, risk management, and relationship management
- Facilitateand attendproactive planning and contract management meetings with key stakeholders.
- Perform any othercontractrelateddutiesas necessary.
Education + Experience Requirements:
- For the USLocation, aJuris Doctorate (JD)and a license to practice law in any US Statearerequired.
- For the UK Role, aLaw Degree andCompletion of the LPCwith requisitetraining isrequired.
- 4+yearsof work experience in contract development, redlining, legal terms review, negotiations, contract management. Law Firm background preferable but not necessary.
- Strong familiarity withVendor AgreementsincludingProfessional Services Agreements, Software as a Service Agreements,Data Privacy Agreements, SoftwareLicenseAgreements,Event and Sponsorship Agreements.
- ExperiencewithUKandUScommercialcontractslawsforcontractreviewisrequired.
Additional Qualifications:
- Proven ability to interpret complex policies and legallanguage andassess business risk and help plan a risk mitigation approach.
- Ability to build collaborative relationships and effectively communicate (orally and written) with managers, internal clients, vendors,colleaguesand support staff.
- Experience with law firm practicesand operations.
- Demonstrates proactivity and takes ownership of daily responsibilities and projects, including contract administration.
- Effectivetime management,prioritizationandorganizational skills in a multitasked environment.
- Extremely responsive and customer-focused;appropriate follow-upand follow-through.
- Commitment to superior quality and accuracy.
- Willingness to learn and adapt to change.
- Working knowledge of data privacy and data security laws (such as GDPR), and experiencewith reviewing andnegotiatingrelatedprivacylanguage ispreferable.
