We are seeking an experienced corporate lawyer to lead governance, restructuring, and strategic legal initiatives across a global organisation. This new position combines high-level advisory work with hands-on execution, supporting cross-functional projects and managing complex corporate matters.

Description
As Senior Legal Counsel - Corporate, you will play a pivotal role in shaping and safeguarding the corporate structure of a global organisation. Your responsibilities will span governance, strategic advisory, and operational execution, including:
Subsidiary Governance & Company Secretarial
- Establish and manage the corporate services function for UK and international subsidiaries. Ensure timely filings, maintenance of statutory records, and compliance with local legal requirements. Act as the go-to expert for corporate documentation and governance queries.
- Lead legal aspects of entity consolidation, incorporations, liquidations, and intercompany transactions. Partner with tax, finance, and treasury teams to optimise structures for efficiency and risk management.
Cross-Functional Strategic Projects
- Provide legal input on initiatives involving finance, HR, communications, and ESG. Support sustainability and regulatory disclosures, ensuring alignment with stakeholder expectations.
- Intellectual Property Oversight
- Oversee the Group's IP portfolio, working with business units to protect and leverage intellectual property assets.
Transactional Support
- Deliver legal support for strategic M&A activity, including due diligence and integration planning.
- Manage the Group's insurance arrangements worldwide. Lead annual renewals, negotiate terms with brokers and insurers, and coordinate claims handling to align with risk management objectives.
Advisory & Problem-Solving
- Act as a trusted advisor to senior stakeholders across multiple jurisdictions, providing pragmatic, risk-based solutions to complex corporate challenges.
Profile
A successful Senior Corporate Counsel should have:
- A qualified solicitor or equivalent legal qualification in another jurisdiction.
- At least 8 years' post-qualification experience in corporate law (private practice and/or in-house).
- Proven expertise in complex restructurings and governance across multiple jurisdictions.
- Strong understanding of cross-border legal issues, tax and treasury interfaces, and ESG considerations.
- Exceptional stakeholder management and communication skills.
- Commercial mindset with the ability to balance legal risk and business objectives.
- Resilient, adaptable, and solutions-oriented.
- Must be able to travel to Gloucestershire when required and at least twice a month.
