This is your opportunity to join Deloitte's fast growing Strategy, Risk and Transactions Advisory Sale and Purchase Agreement (SPA) team, with a focus on the Real Estate industry, and fantastic career development potential. Our business is expanding fast and we are looking for highly motivated individuals with a keen interest in the Real Estate industry to grow a team to bring our market leading services to our clients.

Working on high profile M&A transactions within Deloitte's market-leading SPA team, you will have the opportunity to work in a fast-paced dynamic environment on a wide variety of deals. We work with a broad client base including family offices, corporations, sovereign funds, private equity firms, and large institutional investors in the Real Estate market, across targets such as high-end hotels, leisure parks, shopping centres, iconic office buildings, house builders, student housing, and more, with transactions ranging from £20m to £20bn. The Real Estate team supports core clients in buy-and-build strategies through the M&A cycle and assists non-Real Estate investors entering the market, guiding the advisory we provide.

Our SPA Real Estate team works closely with clients and their legal advisors, providing dedicated support on over 60 Real Estate transactions per year. This typically involves advising on contractual solutions to financial and commercial issues identified through due diligence, including purchase price adjustments mechanisms and completion accounts policies in the negotiated transaction agreements. We often work within broader deal teams including financial due diligence and tax, in cross-border and cross-service line settings across the UK firm and International network.

We collaborate with clients, lawyers, and other advisers to build strong relationships in the Real Estate market and to support excellent career progression opportunities.

Responsibilities

  • Quickly developing an understanding of the target business and its drivers.
  • Working closely with due diligence teams to identify areas of risk.
  • Review of transaction documentation to identify key issues, including:
    • Assessing the suitability of the pricing mechanism (e.g., locked box; completion accounts and/or earn-out) and associated accounting definitions.
    • Considering the appropriateness of key financial warranties and indemnities.
    • Developing robust accounting policies for completion accounts-based mechanisms.
  • Working with Partner/Director to develop appropriate client recommendations.
  • Reporting key issues and delivering recommendations to clients.
  • Driving forward transactions and, in many cases, acting as the key point of contact for clients and the M&A lawyers.

Responsibilities (continued)

  • Project management of assignments including: client interface, managing project risk issues and monitoring costs/recovery.
  • Production of quality deliverables within agreed timescales, briefing Partner/Director accordingly.
  • Participation in marketing initiatives and practice development activities (e.g., client presentations, key client accounts, industry/geography/product programmes, and identifying sales opportunities).

Qualifications

  • A flexible working style and ability to adapt quickly to changing circumstances and priorities.
  • Strong writing and reviewing skills with a focus on conciseness and risk management.
  • Broad commercial acumen with the ability to operate under the pressure and fast pace of the deal marketplace.
  • Excellent interpersonal skills required to challenge, negotiate and operate at a senior level.
  • Client-focused with a commitment to high-quality service.
  • Strong organizational skills and ability to work on multiple projects simultaneously.
  • Experience of working on transactions, disputes, or completion accounts is advantageous.
  • Experience of Real Estate or THL industries and/or investors in these industries is advantageous.
