- Provide succinct, pragmatic, risk-based advice on legal and governance matters
- Develop and oversee the framework by which Synexus monitors and reports compliance with all relevant legislative and regulatory requirements in the US and UK, and potentially other jurisdictions in the future (you will be supported by expert local legal advisors and will apply professional judgment to decide whether legal input is to be sourced externally).
- Ensure Synexus’s risk management framework is robust
- Develop and manage the IP and data protection strategy
- Drafting, reviewing and negotiating terms of contracts (including consultancy agreements, licensing agreements, NDAs)
- Advising Board and Leadership Team on legal matters (contracts with licensees, suppliers and local partners; data protection and privacy; intellectual property)
- Working with the Board Chair to agree what best practice governance looks like for Synexus
- Maintaining governance registers, including Conflicts of Interest
- Managing the forward scheduling of Board meetings and coordinating agendas, papers, and reports for each meeting against a predetermined schedule
- Staying abreast of relevant changes in law, court cases, governance and regulation (with assistance from local experts) and bringing these to the attention of the Board and Leadership Team
- Supporting the COO with progress tracking against objectives in support of Board and Leadership Team reporting
- Dealing with and/or advising the Leadership team on legal threats and challenges (supported by external lawyers where needed)
- Qualified (Ideally US, or England & Wales) solicitor, with significant experience and expertise
- Experience of working in a strategic capacity ‘in house’ to deliver change and results
- Broad governance experience covering corporate and information governance, ideally in a Tech environment
- Experience of working to coordinate (and reconcile) legal advice from different overseas jurisdictions
- Not being phased by new challenges / considerations never seen before
- Ability (and enthusiasm) to ‘roll up sleeves’ in a quickly growing organization and get things done. Self-motivated in a remote, virtual work environment
- Technologically adept, quick to learn new software and tools
- Desirable - Understanding of, and interest in, the issues which Synexus is seeking to address
- LOCATION - Remote – based, and right to work, in the UK preferred though US based also possible.
- WORKING HOURS - This role will be a permanent 0.6 FTE position. Flexible (and increased) working hours are possible. Occasional international travel may be necessary.
- REPORTING - This role supports the work of the Chief Operating Officer, to whom the post holder reports.
