Legal Counsel - Product (Mergers & Acquisitions Advisory Legal) - Vice President

What You’ll Do
The primary role is to liaise directly with the investment banking professionals in Europe, the UK, Middle East and Africa to understand the nature and structure of M&A transactions and to identify, assess and address legal risks, exposures or liabilities for Citi in relation to such transactions. You will review and negotiate IB transaction documentation (engagement letters, documents and announcements naming Citi and other transaction-related documents), answer legal risk questions in day-to-day deal processes, and provide structuring advice at the pre-mandate stage to anticipate potential legal hurdles. You will interact with outside counsel when Citi requires its own advice during transaction execution.
You will work within Citi’s M&A Advisory Legal team, part of the Investment Banking Legal group, and contribute to ensuring compliance with Citi policies and procedures to protect Citi’s reputation and franchise. The role involves contact with legal and compliance officers across the region, as well as external counsel and clients.
What We’re Looking For
- Strong academics, preferably with in-house experience gained in a current position or through secondment
- Strong knowledge and/or understanding of the structure and execution of M&A transactions
- Experience with public M&A transactions
- Familiarity with investment bank documentation and market practice
- Excellent technical skills and analytical ability, with attention to detail
- Excellent communication and time management skills
- Ability to work to tight deadlines and with limited supervision where appropriate
- Qualified lawyer, UK solicitor or barrister or equivalent in other jurisdictions with practical knowledge of UK practice
- Experience in an international law firm (corporate/M&A) or as in-house counsel in a securities firm or investment bank
- Strong business and legal risk judgment and a commercial mindset
- High performance and motivation; cooperative, team-oriented
- Leadership potential to supervise junior team members
- Analytical approach and practical issue-solving ability
- Ability to present and speak effectively to internal and external groups
