VP Counsel Commercial Technology & Outsourcing

Our client, a leading global banking group, is seeking a Commercial Technology and Outsourcing Legal Counsel to join the Complex Transactions legal team, based in London and supporting UK, US and EMEA activities.

Responsibilities

• Negotiate and draft a wide range of agreements including technology procurement agreements (SaaS and cloud), outsourcing (ITO and BPO), managed service agreements, and technology-related partnership and collaboration agreements.
• Work with business areas to develop commercial contract documentation, including service descriptions, service level agreements and fee schedules.
• Liaise with senior stakeholders to escalate issues as they arise.
• Contribute to maintaining and improving contract templates and review checklists to ensure regulatory compliance.
• Collaborate with multiple business lines and legal teams across the UK and other offices.

Qualifications

• Qualified Lawyer with experience in private practice or in-house roles.
• Experience structuring and drafting complex technology procurement contracts, outsourcing agreements, and managed service agreements.
• Basic knowledge of data privacy and cybersecurity.
• Knowledge of financial services regulations related to third-party outsourcing (FCA, PRA, DORA) is a plus.

Working arrangement: hybrid, 4 days a week in the office.
