At PwC, our people in audit and assurance focus on providing independent and objective assessments of financial statements, internal controls, and other assurable information enhancing the credibility and reliability of this information with a variety of stakeholders. They evaluate compliance with regulations including assessing governance and risk management processes and related controls. Those in other assurance services at PwC will focus on providing assurance services to organisations in respect of other laws and regulations (excluding statutory financial statement audits). Working in this area, you will have knowledge of particular industry or local/international non-audit assurance requirements/practices.

About the role

A career within Capital Markets will provide you with the opportunity to be responsible for complex financial reporting issues around deals and other transformational events. You'll tackle your client's needs with a solution-oriented approach that creatively addresses complex financial reporting problems for high profile transactions and you'll have significant interaction with senior company management teams, bankers, lawyers and other advisers.

Capital Markets helps companies navigate important deals - initial public offerings ("IPOs"), significant acquisitions or divestments and raising capital through debt or equity issuances. We are specialists in the UK and US capital market regimes and provide assurance and advice in connection with the financial reporting aspects of these deals, including financial projections, financial reporting procedures, GAAP conversions and offering documents. The team brings together a mixture of capabilities to play a key role in providing transparency to our clients' stakeholders (such as investors, regulators and other deal participants) through the form of independent reporting and assurance we provide in connection with capital markets transactions. The output of our assurance work is comfort letters, opinions and narrative / diligence style reports.

Key Responsibilities

A career within Capital Markets will provide you with the opportunity to work on a variety of different types of transactions and workstreams with high profile clients across a range of industries. As a senior associate, your responsibilities will include:

  • Working in teams on a variety of engagements;
  • Working alongside senior levels of management, bankers, lawyers and other advisers. Collaborating in teams with other parts of PwC as part of a larger project environment. We frequently work in teams with other parts of PwC;
  • Writing reports, drafting comfort letters and reviewing transaction documents (e.g. prospectuses, shareholder circulars and offering memorandums) for our clients;
  • Undertaking review of prior audit work and considering uplifts required to the audit procedures performed for public company reporting;
  • Interaction with client management and exposure to business owners to assure information in transaction documents and understand areas such as financial reporting processes, historical and projected business performance and wider commercial issues;
  • Developing internal and external networks, and developing a business development mindset to drive the growth of our business

The skills and experience we are looking for

  • We are looking for Senior Associate 1s who have completed their ICAEW / ICAS exams and will be exam qualified in September/ October 2025 or shortly thereafter.
  • Experience of report writing.
  • Good data analytical skills.
  • Track record of performing high quality work and exhibiting close attention to detail, whilst assimilating information quickly and dealing with ambiguity in a time sensitive environment.
  • The drive and agility to work across a range of areas.
  • Good communication skills (questioning and listening).
  • Good project management and organisational skills, ability to adapt and be flexible into a changing work environment with evolving demands.
  • Ability to work effectively as part of a team, including sharing knowledge and collaborating with others, as well as contributing to a positive team spirit.
  • Commitment to continued personal development.
