About the Role

Reporting to the Governance, Risk, and Compliance Counsel, this role will be accountable for ensuring a strong culture of governance and compliance within Cornerstone. The role will provide support specifically to the Cornerstone Board and its Committees acting as a governance and compliance specialist, ensuring compliance with competition law and other legal and regulatory requirements, working with the Shareholder compliance and legal teams.
This role will also support the Senior Governance, Risk, and Compliance Counsel in delivering and further developing the Governance and Compliance frameworks for Cornerstone and lead on key workstreams, including new training initiatives, policies, and procedures.

Key Responsibilities:

•Schedule and coordinate Board and Committee meetings.
•Prepare and distribute Board and Committee agendas and meeting packs.
•Take accurate and timely minutes, ensuring legal and regulatory compliance.
•Oversee the management of the MSA Boards for each MNO and compliance against the MSA, including meeting secretariate support.
•Provide company secretarial support for corporate transactions and restructuring.
•Support the Senior Governance, Risk & Compliance Counsel in delivering and continuously developing the corporate governance framework.
•Liaise with Shareholder teams, Board and Committee members, senior management, and external advisors.
•Liaise with Senior Leadership Team in production of Board and Committee packs
•Provide the necessary reports and updates to the management team, stakeholders, and customers.

•Strong organizational and time management skills to support management of multiple tasks under pressure or tight deadlines.
•High attention to detail and accuracy.
•Discretion and confidentiality for handling sensitive information.
•Proactive, self-motivated, and a strong team player.
•Strong analytical and problem-solving skills.
•Experience in compliance management, with the ability to work in a fast-paced environment.
